Paramount Global (PARA, Financial) has announced a strategic decision to immediately vest and settle restricted share units (RSUs) and performance share units (PSUs) for certain executives. This move is part of the company’s efforts to mitigate potential impacts under Section 280G of the Internal Revenue Code, which pertains to “excess parachute payments.”

The company’s Compensation Committee has approved the immediate vesting of RSUs and PSUs for several key executives, effective December 24, 2024. This includes Naveen Chopra, Executive Vice President and Chief Financial Officer; Doretha F. Lea, Executive Vice President, Global Public Policy and Government Relations; Nancy Phillips, Executive Vice President, Chief People Officer; Chris McCarthy, President and CEO of Showtime/MTV Entertainment Studios and Paramount Media Networks; George Cheeks, President and CEO of CBS; and Brian Robbins, President and CEO of Paramount Pictures and Nickelodeon.

For these executives, the RSUs and PSUs were originally scheduled to vest in the coming years, specifically between 2025 and 2027. However, to address the potential 280G impact, the vesting has been accelerated. This decision ensures that performance-based vesting conditions are deemed achieved at target performance levels, facilitating the conversion of these units as per the Transaction Agreement dated July 7, 2024.

It is important to note that if any of the impacted executives voluntarily resign or are terminated for “cause” before the original vesting dates, they are required to repay the after-tax amount of the accelerated RSUs or PSUs within 30 days of termination.
